These Terms of Service govern access to and use of WeftlineAI websites, services, contained agent deployments, and related offerings. By accessing or using our services, you agree to these Terms.

If you are using the services on behalf of an organization, you represent that you have authority to bind that organization and "you" means that organization.

These Terms apply to your use of WeftlineAI services unless superseded by a written master services agreement, order form, statement of work, or other executed contract between you and WeftlineAI.

WeftlineAI provides contained agentic AI deployment and related professional services, including implementation, integration, and operational support where agreed.

WeftlineAI is designed for deployments in customer-controlled infrastructure boundaries where feasible. Ownership and control of client data remain with the customer, subject to contract terms.

7. AI Outputs and Human Review

AI systems may generate inaccurate, incomplete, or biased outputs. You are responsible for appropriate human review, validation, and decision-making before operational or legal reliance.

8. Fees, Billing, and Taxes

Fees, billing schedules, and payment terms are set in your order documents. Unless otherwise stated, fees are non-refundable and exclusive of taxes, duties, and levies.

You are responsible for all applicable taxes other than taxes based on WeftlineAI net income.

Each party may receive confidential information from the other. Receiving parties must protect confidential information using reasonable safeguards and may use it only to perform obligations and exercise rights under the agreement.

Security is a shared responsibility. WeftlineAI implements technical and organizational controls for the services it operates, while customers are responsible for their own infrastructure configurations, identity controls, endpoint security, and policy enforcement.

Except as expressly provided in a signed agreement, services are provided on an "as is" and "as available" basis. WeftlineAI disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

13. Limitation of Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data.

Except for excluded liabilities under applicable law or contract, each party's aggregate liability arising out of or related to the services is limited to the amounts paid or payable by customer to WeftlineAI for the twelve months preceding the claim.

You will defend, indemnify, and hold harmless WeftlineAI from third-party claims arising from your unlawful use of the services, violation of these Terms, or infringement caused by your data or materials, except to the extent caused by WeftlineAI misconduct.

Governing law, venue, and dispute resolution procedures are defined in applicable signed commercial documents. If no such document exists, disputes will be handled in the jurisdiction where the WeftlineAI contracting entity is organized, excluding conflict-of-law rules.
